About My Client

My client is a Dublin-City-based UCITS asset management company, a subsidiary of a prominent European bank. The firm has rapidly expanded, currently managing approximately €35bn in assets. Specialising in fund-of-funds, single strategy funds, and Structured Solutions Funds, the company also performs all key supporting and controlling functions locally. With a team that has grown to almost 100 employees, the company is extending its authorisation to become a Super ManCo, obtaining AIFM and MiFID licences.

About the Role

My client is seeking a Legal Counsel to support the Head of Legal in managing the company’s legal affairs. This role involves following up on legislation, managing fund approvals and amendments, drafting fund documentation, and reviewing commercial contracts. The Legal Counsel will also provide legal advice, participate in projects, assist with board meeting preparations, and represent the firm at external events.

This is a mat-leave cover, though given my clients rate of growth, there are genuine opportunities for a permanent role.

Key Responsibilities:

  • Monitor, analyse, and implement new legislation and regulatory requirements affecting the firm and its funds (e.g., UCITS, AIFMD, MiFID II, EMIR, SFDR, CP86, Outsourcing Requirements).
  • Complete applications for new sub-funds and manage post-authorisation fund amendments with the Central Bank and CSSF.
  • Assist with product development from the initial idea stage through to managing the approval process with regulators and stakeholders.
  • Draft and maintain fund and management company documents (e.g., Prospectus, Supplements, KIIDs, Business Plan) and other related documents.
  • Draft and review a variety of commercial contracts impacting the management company and its funds (e.g., IMAs with third-party managers, investment advisory agreements, licensing agreements).
  • Draft and review transactional documentation such as ISDA Agreements, transaction confirmations, ISDA amendment agreements, and give-up agreements.
  • Provide practical, business-oriented legal advice on issues related to the firm’s Irish and Luxembourg fund umbrellas and management company governance requirements.
  • Participate in ad-hoc regulatory and business projects.
  • Assist with preparing and organising quarterly board meetings and product committee meetings.
  • Represent the firm at external conferences, industry events, and fund association events.

About You

  • Qualified Irish Solicitor or solicitor with equivalent qualification in another jurisdiction with 5 years’ post-qualification experience (preferably in Ireland).
  • Experience in investment funds is essential, with a background in understanding investment strategies and drafting fund product documentation.
  • Highly motivated, pragmatic, solutions-oriented, and a true business partner.
  • Ability to conduct thorough legal analyses of complex topics and provide practical and succinct legal advice.
  • Commitment to high standards and keen attention to detail.
  • Strong oral and written communication skills, capable of liaising with top management and other stakeholders.
  • Independent worker with excellent organisational and task management skills to handle a large volume of tasks and meet deadlines.
  • Ability to effectively prioritise work by understanding competing priorities and making appropriate judgments regarding their relative importance.
  • Team player, willing to help colleagues and share work.
  • Proficient with MS applications (Outlook, Word, Excel, PowerPoint).
